TD 8.0 is using ASP and QC 8.0 is using J2EE. QC is a port/re-write of TD into J2EE to provide robustness and scalability, and real replication capabilities. TD can use an MS-Access dB and QC (8.0) does not support it. In QC 8.2 they have implemented support for the MSDE dB engine (enough people bitched about it).

QC 8.0 has the BPT and Dashboard components as part of the default package (turned on by licensing), TD 8.0 does not.

Those are the basic highlevel differences, ones that do impact your decision. Otherwise the other base functionality is the same between them, might be some other slight differences but I forget what they are.
